Definitions

- Client: The school, organization, or individual entering into an agreement with Lighthouse Therapy.
- Contractor: Lighthouse Therapy, LLC.
- Services: All therapy, assessment, consultation, and support services described in these Terms and any applicable Exhibits.

1. Introduction

Welcome to Lighthouse Therapy! These Terms of Service ("Terms") outline the rights, responsibilities, and obligations of both Lighthouse Therapy ("Contractor") and our clients ("Client") regarding the delivery of therapy services. By accessing or using our services, you agree to these Terms. If you do not agree, you may not use our services.

These Terms apply to all service delivery models: Virtual, Hybrid, and In-Person. Specific client contracts and Exhibits (rate sheets) supplement these Terms and are incorporated by reference.

By signing a customized proposal from Lighthouse Therapy, the Client acknowledges and agrees that such signature constitutes full acceptance of these Terms of Service, as if fully set forth in the proposal.

2. Scope of Services

Lighthouse Therapy provides:
- Speech-language pathology, occupational therapy, physical therapy, counseling, school psychology, BCBA, social work, and assistive technology services.
- Direct therapy sessions, make-up/compensatory services, assessments (e.g., speech/language, occupational, physical, psychoeducational), screenings, consultations, and parent/teacher meetings.
- Case management, coordination of services, and attendance at IEP meetings.
- Indirect therapy services such as documentation, reporting, and planning.
- Certified Special Education services provided by an appropriately credentialed teacher per applicable state rules/guidelines.
- Special education instruction as defined by applicable state rules/guidelines.
- Access to an online Individualized Education Plan (IEP) system.
- Assistance with technology setup for virtual delivery.
- Additional services as agreed upon in a written addendum.

All services are delivered by qualified, licensed, and/or certified clinicians in compliance with applicable state and federal regulations.

3. Service Delivery Models

3.1 Virtual Model
Services are delivered entirely through a secure, HIPAA- and FERPA-compliant teletherapy platform. Lighthouse Therapy provides access to all necessary assessment materials and standardized tools as defined in applicable client contracts. Technology readiness support, training, and onboarding are provided prior to the start of services.

3.2 Hybrid Model
A combination of on-site and virtual services. Lighthouse Therapy will continue to provide access to a secure, HIPAA- and FERPA-compliant teletherapy platform for therapists as needed for the virtual component. The School/Client must:
- Provide all required assessment materials, tools, and testing kits for on-site services.
- Maintain technology, secure internet connections, and provide tech support for virtual components.
- Ensure that service spaces meet privacy, accessibility, and safety standards.

3.3 In-Person Model
All services are delivered on-site. The School/Client must:
- Provide all assessment materials, tools, and testing kits.
- Maintain suitable, private spaces for service delivery.
- Ensure necessary scheduling access, student availability, and cooperation with Lighthouse Therapy staff.

4. Client Responsibilities

Clients agree to:
- Provide accurate and complete service-related information.
- Ensure student attendance and participation.
- Supply, maintain, and troubleshoot technology or facilities suitable for the agreed delivery model.
- Cooperate fully with scheduling, rescheduling, and timely communication.
- Provide timely access to IEPs, evaluations, records, and necessary consents.
- Notify Lighthouse Therapy promptly of changes in student needs or schedules.
- Adhere to all applicable data protection standards.
- Collaborate with Lighthouse Therapy staff to resolve any service-related issues.

5. Capacity and Independent Contractor Status

- Lighthouse Therapy and its clinicians operate solely as independent contractors and are not employees, agents, partners, or joint venturers of the Client.
- The Client shall not control the manner or means by which Lighthouse Therapy performs services, but may require compliance with applicable laws, regulations, and agreed specifications.
- Nothing in these Terms shall be construed to create an employment relationship.
- Lighthouse Therapy is responsible for all taxes, insurance, and benefits for its personnel.

6. Payment & Billing

- Fees are outlined in Exhibit A (rate sheets).
- Invoices are issued monthly and due within 15 calendar days.
- Early ACH payment discounts may apply; eligibility and percentage are specified in the client contract. Discounts are applied to the invoice total if payment is received within the agreed timeframe.
-  An initial payment of 20% of the total contract value may be requested prior to the start of services. This amount will be credited toward the first three invoices according to the dates of service listed in the signed proposal or as otherwise agreed upon in writing by both parties.  
- Late payments accrue interest at 2% per month or the maximum allowed by law.
- Billing disputes must be submitted in writing within 5 calendar days of invoice receipt.
- Non-payment may result in reassignment of clinicians, suspension, or termination of services.

Adjustment for Additional Students
If the number of students requiring services under this Agreement exceeds the number specified in the original Contract, Lighthouse Therapy shall be entitled to provide services to such additional students without requiring execution of a new Contract. The Client agrees that any such additional services will be billed automatically at the same per-student rate set forth in the original Contract. Charges for additional students will be prorated based on the remaining number of school days or weeks in the current academic year, as applicable. All such amounts shall be invoiced and payable in accordance with the payment terms of this Agreement.

7. Confidentiality & Privacy

- All information regarding students and client operations is confidential.
- Lighthouse Therapy complies with FERPA and HIPAA requirements.
- Confidential information will not be disclosed without authorization unless required by law.
- Both parties must implement safeguards to protect sensitive information.

8. Intellectual Property

- All materials, reports, and resources provided by Lighthouse Therapy remain the property of Lighthouse Therapy.
- Clients receive a limited, non-transferable license for educational use only.
- Materials may not be copied, distributed, or sold without written consent.

9. Termination & Cancellation

- Within the first 30 days: Either party may terminate with 30 days’ written notice.
- After 30 days: 90 days’ written notice is required for termination or reduction of services by more than 10%.
- Either party may terminate for material breach with 30 days’ written notice if uncured.
- Payment obligations for services delivered remain after termination.

10. Liability & Indemnification

- Neither party is liable for indirect, incidental, or consequential damages.
- Each party indemnifies and holds the other harmless from claims arising from their acts or omissions.

11. Governing Law & Venue

- Governed by Texas law.
- Venue for disputes is exclusively in Corpus Christi, Texas.

12. Notice

- All notices required under these Terms must be in writing and delivered to the respective party’s address as stated in the applicable client contract or most recent written communication.
- Notices are deemed effective upon receipt when sent by certified mail (return receipt requested), recognized overnight courier, or electronic mail with confirmation of delivery.
- Each party is responsible for updating the other in writing of any changes to its notice address.

13. Amendments

- Lighthouse Therapy may amend these Terms with written notice. Continued use of services constitutes acceptance of updated Terms.
